Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Business Email Acquisition & Networking Services, LLC, doing business as BEANS, LLC ("Company," "we," "us," or "our"), a California limited liability company. By engaging our services or accessing the client portal at app.beansco.org, you ("Client," "you," or "your") agree to be bound by these Terms.

1. Services

BEANS, LLC provides B2B cold email outreach services, including but not limited to: prospect list building and email enrichment, AI-personalized email copywriting, email deliverability infrastructure setup and management, campaign monitoring and optimization, reply management and meeting scheduling, and performance reporting via our client portal.

The specific scope of services depends on the plan you subscribe to (Founding, Starter, Growth, or Scale). Plan details, including campaign limits and email volumes, are described on our pricing page and in your service agreement.

2. Payment Terms

Two months of service are due upfront at the time of subscription. This upfront payment is non-refundable and covers the significant ramp-up costs associated with onboarding your account, including domain warming, infrastructure provisioning, lead sourcing, email verification, and campaign preparation.

Following the initial two-month payment, your subscription will automatically renew on a monthly basis on the anniversary of your signup date. We accept payment via credit card and ACH bank transfer through our payment processor, Stripe.

Cancellation: You may cancel your subscription at any time before your next billing date. Cancellation will take effect at the end of the current billing period. If you cancel before the next billing cycle, you will not be charged for the following month. No partial refunds are issued for unused portions of a billing period.

Failed Payments: If a payment fails, we will attempt to collect payment again. If payment remains unsuccessful, we reserve the right to pause your campaigns until the balance is resolved.

3. Client Responsibilities

You agree to provide accurate business information, target customer profiles, and any materials needed for campaign setup. You are responsible for reviewing and approving email sequences, reply drafts, and lead lists when submitted through the client portal. You agree to respond to time-sensitive approvals (such as positive prospect replies) in a timely manner to maximize campaign effectiveness.

4. Acceptable Use

Our services may only be used for legitimate B2B outreach. You agree not to use our services to send unsolicited messages to consumers (B2C spam), promote illegal products or services, engage in deceptive or fraudulent business practices, violate the CAN-SPAM Act, GDPR, or any other applicable anti-spam or data protection laws, or harass, threaten, or abuse any recipient.

We reserve the right to immediately suspend or terminate your account if we determine, in our sole discretion, that your use of our services violates this acceptable use policy.

5. Intellectual Property

Email copy, campaign strategies, and deliverability configurations created by BEANS for your campaigns are provided as part of your service subscription. You retain ownership of your business data, lead lists you provide, and any materials you submit. BEANS retains ownership of its proprietary tools, processes, templates, and methodologies.

6. Confidentiality

Both parties agree to keep confidential any proprietary or business-sensitive information shared during the course of the engagement. This includes, but is not limited to, campaign performance data, client lists, pricing information, and business strategies. This obligation survives termination of these Terms.

7. Data Handling

We collect and process prospect data (names, email addresses, company information) on your behalf to execute email campaigns. We use industry-standard tools and practices for data enrichment and verification. For full details on how we handle data, please see our Privacy Policy.

8. Results Disclaimer

While we employ best practices in cold email outreach and have a strong track record, we do not guarantee specific results such as a minimum number of replies, meetings booked, or deals closed. Email outreach outcomes depend on many factors including your industry, offer, target market, and market conditions. We commit to running campaigns with the same strategies and standards we apply across all clients.

9. Limitation of Liability

To the maximum extent permitted by California law, BEANS, LLC's total liability to you for any claims arising from or related to these Terms or our services shall not exceed the total amount you have paid to us in the three (3) months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

10. Indemnification

You agree to indemnify and hold harmless BEANS, LLC, its members, officers, and agents from any claims, damages, or expenses (including reasonable attorney's fees) arising out of your breach of these Terms, your misuse of our services, or any third-party claims related to the content of emails sent on your behalf.

11. Termination

Either party may terminate this agreement by providing written notice before the next billing date. Upon termination, we will cease all campaign activity on your behalf. You remain responsible for any outstanding balance. Access to the client portal will be maintained through the end of your paid billing period.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts located in Alameda County, California.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the client portal. Your continued use of our services after such notification constitutes acceptance of the updated Terms.
